Freshfields advises Cinven on the £475m sale of Northgate Public Services Limited

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) has advised Cinven, the international private equity firm, on its agreement to sell Northgate Public Serviced Limited (‘NPS’) for £475m. The buyer is Tokyo Stock Exchange listed NEC Corporation (‘NEC’).

Acquired by Cinven in December 2014, NPS is a leading provider of mission-critical software and intellectual property-led services to the property sector in the UK, Australia and Canada. NPS is headquartered in the UK and has more than 2000 staff worldwide. 

NEC is a leader in the integration of IT and network technologies that benefit businesses and people worldwide. The acquisition by NEC is set to deliver significant growth opportunities to NPS, capitalising on NEC’s biometric and artificial intelligence technology as well as its global network across North America, Asia Pacific and other regions.

The Freshfields team was led by partners Adrian Maguire, Victoria Sigeti, Chris Davis and Helen Lethaby.

This is the second large sale of a technology company by Cinven on which Adrian Maguire and Victoria Sigeti led in the last 12 months. In June 2017, it was announced that they advised Cinven on the sale of part of its stake in Visma, a leading provider of business critical software to small and medium sized businesses in the Nordic and Benelux regions.

This transaction also marks Freshfields’ continued involvement in advising on market-leading technology deals. According to Mergermarket (1), the firm has advised on more high value technology deals in Europe (as ranked by deal value) over the past 12 months than any other firm.
