Our debt capital markets practice covers standalone issuances, programmes, equity-linked, hybrid and subordinated debt. Our top-tier US securities practice, able to advise on Rule 144A placements to institutional investors in the US, is integrated within these teams, and our sophisticated disclosure lawyers are well-versed in 10b-5 disclosure standards.

Recent client successes

IONOS, the leading European digitalisation partner for small- and medium-sized enterprises, has been listed on the regulated market (Prime Standard) of the Frankfurt Stock Exchange since 8 February 2023. The syndicate consisted of nine banks led by Joint Global Coordinators and Joint Bookrunners J.P. Morgan, Berenberg, Deutsche Bank and BNP Paribas. Barclays, Goldman Sachs and Commerzbank acted as additional bookrunners and DZ Bank and LBBW as co-lead managers. 

Freshfields lawyers have advised on over $18bn of such offerings since 1998. 

The share capital of Porsche was divided into 50 per cent preferred shares (Vorzugsaktien) and 50 per cent ordinary shares (Stammaktien), with approximately 25 per cent of the preferred shares placed in the capital market.
